About the Role

We are seeking a Legal, Governance, and Compliance Manager to provide strategic leadership in governance, risk management, compliance, and legal affairs. Reporting to the National Director, you will ensure that our Board and leadership teams operate with integrity, accountability, and full compliance with national and international standards.

Key Responsibilities

Governance & Board Support

  • Coordinate Board meetings, maintain accurate records, and track action plans.
  • Provide guidance on ethics, governance, and legal duties.
  • Support Board committees, capacity-building initiatives, and field visits.
  • Manage the governance risk register and ensure compliance with NGO Bureau requirements.

Legal Advisory & Compliance

  • Provide expert legal counsel on contracts, partnerships, and operations.
  • Review governance policies for alignment with laws and organizational standards.
  • Oversee litigation, dispute resolution, and engagement with external counsel.
  • Monitor legal and regulatory changes to keep policies current.

Risk Management & Compliance

  • Lead enterprise risk management and maintain the organizational risk register.
  • Design compliance strategies and ensure effective mitigation of risks.

Policy & Training

  • Review contracts, agreements, and legal documents for organizational protection.
  • Support People & Culture in legal aspects of disciplinary cases.
  • Lead training and capacity-building programs to strengthen compliance culture.

Government Relations

  • Build and maintain relationships with key Ugandan government institutions.
  • Engage in policy discussions relevant to NGO operations and partnerships.

Leadership

  • Serve as a member of the Senior Leadership Team (SLT).
  • Provide legal insights to support high-level decision-making.

Qualifications

Required:

  • Bachelor’s degree in Law (LLB) plus a Diploma in Legal Practice.
  • 7–10 years of professional legal experience in corporate law, governance, compliance, or risk management.
  • Strong background in drafting and reviewing contracts.
  • Experience advising Boards or senior leadership.
  • Familiarity with governance standards and statutory requirements.

Preferred:

  • Certification in governance or risk management.
  • Knowledge of NGO, corporate, or public sector frameworks.
  • Expertise in contract law, labor law, and dispute resolution.
  • Experience with ISO 31000 or similar risk management frameworks.
